LEGAL NOTICE: By accessing this site or purchasing any product, you agree to be bound by these Terms. These products are NOT for human or animal consumption under any circumstances.

RESEARCH USE ONLY: All products sold by Vertex Labs are strictly for in-vitro laboratory research and development purposes. No products are intended for human or animal use, consumption, injection, or any form of in-vivo application.

Research Use Acknowledgement

By placing an order with Vertex Labs, you make the following acknowledgements:

• I confirm that I am at least 21 years of age and am purchasing these products for research purposes only. These products are not intended for human consumption, veterinary use, therapeutic applications, or any diagnostic purposes. I understand and accept full responsibility for the proper handling and use of these products. Vertex Labs is not liable for any misuse of these products.
• I understand that all products are shipped as freeze-dried powder. Freeze-drying preserves product stability, ensures sterility, and protects products during transit. Vertex Labs does not provide, solicit, or endorse any usage instructions, dosage guidance, or administration protocols for any products sold.

By placing an order you confirm that you have read, understand and accept our Terms of Use, Terms of Sale and Returns Policy, and acknowledge our Privacy Policy.

1. Research Use Only

All products sold by Vertex Labs are intended for in-vitro laboratory research and development purposes only. None of the products listed on this website are intended for human or animal consumption, nor are they intended for diagnostic, therapeutic, or clinical use.

Purchasers acknowledge that these products are:

• For laboratory research applications only
• Not intended for any use regulated by the FDA, including human or animal administration, therapeutic use, or diagnostic use
• Not to be administered to humans or animals
• To be handled by qualified research professionals only
• Sold for research purposes only with no implied or intended human application

2. Age & Eligibility

You must be at least 21 years of age to purchase products from Vertex Labs. By placing an order, you certify that you are 21 years or older and that you are purchasing these products for legitimate research purposes within a qualified laboratory setting.

3. Compliance & Liability

The purchaser assumes all responsibility for compliance with local, state, and federal regulations regarding the purchase, possession, storage, and use of research compounds. Vertex Labs shall not be held liable for any misuse, improper handling, or non-compliance with applicable laws and regulations.

Jurisdiction, export & shipping restrictions: Products are supplied solely for lawful in-vitro laboratory research. For research use only. Not for human consumption. Orders are accepted and shipped only where lawful. Vertex Labs currently ships to United States destinations only and does not export internationally. Customers are responsible for confirming applicable destination, state, import, export, and local restrictions before placing an order. Vertex Labs does not supply products for human or animal use, diagnostic use, therapeutic use, or in-vivo application, and reserves the right to decline or cancel any order that cannot be fulfilled lawfully.

Pricing & currency: All prices and refunds are in United States Dollars (USD).

By purchasing, you agree to:

• Comply with all applicable laws and regulations
• Use products only in appropriate research settings and in full compliance with applicable law
• Not use products in any manner that violates law or endangers health

4. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• AS IS & AS AVAILABLE: All products are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied.
• NO WARRANTY: Vertex Labs makes no representations or warranties of any kind regarding the suitability, reliability, availability, timeliness, or accuracy of the products for any research purpose.
• RESEARCHER RESPONSIBILITY: The purchaser assumes all responsibility for proper handling, storage, disposal, compliance with regulations, and any and all outcomes, results, or consequences of research conducted.
• NO LIABILITY: In no event shall Vertex Labs, its owners, employees, affiliates, or suppliers be liable for any direct, indirect, incidental, special, consequential, or exemplary damages (including, without limitation, loss of revenue, data, research outcomes, or personal injury) arising out of or in connection with the use or inability to use our products, even if advised of the possibility of such damages.
• INDEMNIFICATION: You agree to indemnify, defend, and hold harmless Vertex Labs and its owners, employees, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your purchase, handling, storage, or use of our products, or violation of these terms.

5. Acknowledgment of Risk

By purchasing from Vertex Labs, you expressly acknowledge and agree that:

1. You are a qualified researcher or laboratory professional with appropriate training to handle research compounds.
2. You are purchasing these compounds for legitimate in-vitro laboratory research purposes only.
3. You understand these products are NOT for human or animal consumption, injection, or any form of in-vivo use.
4. You assume all risk and liability associated with handling, storing, using, and disposing of these compounds.
5. You have read, understood, and agree to be bound by these terms in their entirety.
6. You waive any right to hold Vertex Labs liable for any claims arising from your use of these products.

6. Product Quality & Testing

All Vertex Labs products undergo third-party testing through an independent third-party laboratory. Certificates of Analysis (COAs) are available upon request. While we maintain the highest quality standards, research outcomes are the sole responsibility of the researcher. Product characteristics may vary based on storage, handling, and research conditions.

7. Intellectual Property

All content on this website, including product descriptions, images, branding, and code, is the property of Vertex Labs and may not be reproduced, copied, or used without explicit written consent.

8. Disclaimer of Warranties

Vertex Labs provides products "as is" for research purposes. We make no warranties, express or implied, regarding the suitability of these products for any particular research application. Researchers are responsible for validating product suitability for their specific protocols. No warranty of merchantability or fitness for a particular purpose is provided.

9. SMS & Email Marketing Consent

By entering your phone number or email address anywhere on this site, including at checkout, in a signup form, or in a popup, you consent to receive marketing and promotional messages from Vertex Labs by SMS text message and by email at the number and address you provide. This includes offers, discounts, product announcements, cart reminders, and order and shipping updates. Text messages may be sent using automated technology. Message frequency varies. Message and data rates may apply. Consent is not a condition of purchase.

You can opt out at any time. Reply STOP to any text message to stop texts, or HELP for help. Every marketing email includes an unsubscribe link, or you can email orders@vertexlabs.shop. Opting out of marketing does not stop messages about an order you have placed. We do not sell or share your phone number or email address with third parties for their own marketing purposes.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Suffolk County, Massachusetts, and the parties hereby consent to the personal jurisdiction and venue thereof.

These Entry Terms govern access to and browsing of this website. Placing an order is governed separately by the Checkout Terms & Attestation Agreement presented at checkout, together with the Terms of Research, Shipping Policy and Refund, Return & Chargeback Policy.

1. Parties and scope

These Site Entry Terms & Acknowledgments (the “Entry Terms”) apply to every visitor who elects to enter this website (“Visitor”). By checking the required acknowledgments on the site-entry gate and selecting Enter, Visitor agrees to these Entry Terms. Placing an order is governed separately by the Checkout Terms & Attestation Agreement presented at checkout.

2. Company purpose — laboratory research materials

This website is operated by a supplier of laboratory research materials, including research-use-only peptides and related reagents (the “Materials”). The company does not operate a consumer retail store for personal, household, or clinical use. Product listings, catalogs, and related content are provided for qualified research buyers and institutional purchasers.

3. Research use only — no human use

All Materials described on this website are intended strictly for laboratory research use only. Materials are not foods, drugs, cosmetics, medical devices, or dietary supplements. Visitor acknowledges that Materials are not for:

• human consumption, administration, injection, inhalation, or topical application;
• diagnostic, therapeutic, clinical, or household purposes; or
• any use requiring regulatory approval that has not been obtained by the purchaser.

4. Business / institutional visitors

Access is intended for visitors acting for a business, laboratory, academic institution, or other organizational research purpose. This website is not intended for personal, family, household, or other consumer browsing or purchasing.

5. Age and capacity

Visitor is at least the minimum age stated on the site-entry gate (twenty-one (21) years unless a higher threshold is displayed) and has legal capacity to agree to these Entry Terms.

6. Lawful access and use

Visitor represents that Visitor is legally authorized to access information about the Materials in Visitor's jurisdiction, and that subsequent purchase, receipt, possession, or use (if any) will comply with applicable law. Visitor is solely responsible for compliance with laws, regulations, institutional policies, and safety requirements applicable to Visitor.

7. No medical or regulatory claims

Seller makes no claims that Materials diagnose, treat, cure, or prevent any disease. Product identification and catalog information do not constitute medical, legal, or regulatory advice.

8. Electronic acknowledgment

Visitor's affirmative selection of each required acknowledgment checkbox on the site-entry gate, together with submission of Enter, constitutes Visitor's electronic acknowledgment of these Entry Terms. A signed cookie binding the Entry Terms version and age threshold, and a hashed-IP audit event, may be retained as evidence of entry assent.

9. Relationship to checkout terms

If Visitor later places an order, the Checkout Terms & Attestation Agreement controls for that purchase. If there is a conflict regarding research-use-only status or buyer qualifications at the time of purchase, the Checkout Terms control for those subjects. These Entry Terms control for website access and browsing.

10. Governing terms

If Seller publishes additional website terms, privacy notices, or product-specific restrictions, those terms apply in addition to these Entry Terms.

Checkout Terms & Attestation Agreement

ASSENT: By checking the confirmation at checkout and placing your order, you agree to this Checkout Terms & Attestation Agreement on behalf of your organization. If you cannot truthfully make every attestation in Section 1, do not place the order.

1. Buyer Attestations

Every order placed on vertexlabs.shop is accepted only on the basis of the following attestations, each of which the individual completing checkout makes at the time of purchase:

• Age 21 or older. The individual completing checkout is at least twenty-one (21) years old.
• Research-use-only purchase. Every product in the order is being purchased solely for legitimate laboratory research and is not for human consumption, administration, or any clinical or household use.
• Experienced researcher. The individual completing checkout is an experienced researcher, or is acting under the direct authority and supervision of an experienced researcher, with the training, qualifications, facilities, and procedures appropriate for the materials ordered.
• Business-to-business / institutional transaction only. The order is placed solely by or for a business, laboratory, academic institution, or other organizational purchaser. It is not placed for personal, family, household, or other consumer purposes.
• Legally authorized receipt. The buyer is legally authorized to purchase and receive the materials in the jurisdiction where they will be received, possessed, and used, and the purchase does not violate applicable law.

2. Payment and Order Acceptance

• Card payments are collected on a hosted, PCI-compliant checkout page operated by our payment provider. Card numbers are never entered on, transmitted to, or stored by Vertex Labs.
• An order is pending until the payment provider confirms payment. Vertex Labs may decline, cancel, or limit any order before dispatch, including where an attestation appears inaccurate or the order is inconsistent with research use.
• All prices are in United States Dollars (USD). The amount charged is the order total shown at checkout, inclusive of any shipping, handling, or protection selected.
• Discount codes and offers are subject to the conditions stated where the offer is presented and may be changed or withdrawn at any time.

3. Research-Use Restrictions

• All materials are supplied as analytical reference standards for in-vitro laboratory research only. They are not drugs, cosmetics, supplements, or devices, and are not for human or animal use.
• Materials may not be resold, distributed, or transferred to any person or entity that cannot make the attestations in Section 1.
• The buyer is solely responsible for safe handling, use, and disposal in accordance with applicable regulations and its institution's procedures.

4. Attestation Records

Vertex Labs retains a record of each checkout attestation together with the order: the attestation version, the time it was made, the order contents and total, a hashed form of the network address, and the browser identifier. These records are kept for compliance and may be provided to our payment and compliance partners on request. See our Privacy Policy.

5. Related Terms

This agreement is in addition to, and incorporates, the Terms of Research, the Site Entry Terms, the Refund, Return & Chargeback Policy, and the Shipping Policy. If there is a conflict, this agreement controls for the order it accompanies.
